Allgemeine Geschäftsbedingungen
§ 1 Geltungsbereich und Definitionen
Die nachstehenden Allgemeinen Geschäftsbedingungen (AGB) gelten für sämtliche, auch zukünftige, Verträge, Lieferungen und sonstige Leistungen der Dechand & Wanke GbR (im Folgenden: "D&W GbR").
Verbraucher ist jede natürliche Person, die ein Rechtsgeschäft zu Zwecken abschließt, die überwiegend weder ihrer gewerblichen noch ihrer selbständigen beruflichen Tätigkeit zugerechnet werden können (§ 13 BGB).
Unternehmer ist eine natürliche oder juristische Person oder eine rechtsfähige Personengesellschaft, die bei Abschluss eines Rechtsgeschäfts in Ausübung ihrer gewerblichen oder selbständigen beruflichen Tätigkeit handelt (§ 14 BGB).
Der Kunde erkennt diese AGB durch Auftragserteilung an. Abweichende oder entgegenstehende Bedingungen des Kunden werden nur anerkannt, wenn die D&W GbR diesen im Einzelfall ausdrücklich und schriftlich zugestimmt hat.
Vertragsschluss und Lieferung
§ 2 Auftragsbestätigung und Angebote
Die Angebote der D&W GbR sind freibleibend und unverbindlich.
Ein Vertrag kommt erst durch die schriftliche Auftragsbestätigung der D&W GbR zustande, spätestens jedoch durch die Annahme der Lieferung oder Leistung durch den Kunden.
§ 3 Liefertermine
Liefertermine und -fristen ergeben sich aus der Auftragsbestätigung. Sie sind unverbindlich, wenn die D&W GbR sie nicht ausdrücklich und schriftlich als bindend zugesagt hat.
Wird ein unverbindlicher Liefertermin überschritten, kann der Kunde erst nach schriftlicher Mahnung eine angemessene Nachfrist von mindestens zwei Wochen setzen. Nach erfolglosem Ablauf dieser Nachfrist kann der Kunde vom Vertrag zurücktreten.
§ 4 Preise
Alle Preise werden nach der bei Auftragsbestätigung jeweils gültigen Preisliste berechnet. Sie verstehen sich netto zuzüglich der gesetzlichen Mehrwertsteuer, sofern der Kunde Unternehmer ist. Bei Verbrauchern werden die Preise brutto inklusive Mehrwertsteuer ausgewiesen.
Vereinbarte Preise sind bindend, wenn die Lieferung oder Leistung durch die D&W GbR innerhalb von vier Monaten nach Auftragsbestätigung zu erfolgen hat. Bei längeren Lieferfristen gelten die bei Lieferung oder Leistung gültigen Listenpreise der D&W GbR.
§ 5 Zahlungsbedingungen und Verzug
Es gelten die bei Auftragsbestätigung vereinbarten bzw. die auf der Rechnung vermerkten Zahlungsbedingungen.
Gerät der Kunde in Zahlungsverzug, so gelten folgende gesetzliche Verzugszinssätze:
Verbraucher: fünf Prozentpunkte über dem jeweiligen Basiszinssatz.
Unternehmer: neun Prozentpunkte über dem jeweiligen Basiszinssatz.
Alle Forderungen der D&W GbR werden sofort zur Zahlung fällig, wenn der Kunde die Zahlungsbedingungen ohne rechtfertigenden Grund nicht einhält. Die D&W GbR ist dann berechtigt, noch ausstehende Lieferungen und Leistungen nur gegen Vorauszahlung oder Sicherheitsleistungen auszuführen.
Die Geltendmachung eines weitergehenden Schadens bleibt vorbehalten.
§ 6 Gefahrenübergang und Eigentumsvorbehalt
Gefahrenübergang:
Ist der Kunde Unternehmer, geht die Gefahr des zufälligen Untergangs und der zufälligen Verschlechterung mit der Übergabe der Ware an die Spedition oder den Transporteur auf den Kunden über.
Ist der Kunde Verbraucher, geht die Gefahr des zufälligen Untergangs und der zufälligen Verschlechterung erst mit der Übergabe der Sache an den Kunden auf diesen über.
Eigentumsvorbehalt: Die D&W GbR behält sich das Eigentum an den von ihr gelieferten Produkten bis zur vollständigen Bezahlung aller ihrer jetzt oder künftig gegen den Kunden zustehenden Ansprüche vor.
Gewährleistung und Haftung
§ 7 Gewährleistung
Die D&W GbR gewährleistet, dass die gelieferte Hardware bzw. die ausgeführten Leistungen nicht mit Mängeln behaftet sind.
Die Gewährleistungsfrist beträgt zwei (2) Jahre ab dem gesetzlichen Verjährungsbeginn (in der Regel Ablieferung).
Besondere Bestimmungen für Gebrauchtwaren:
Gegenüber Verbrauchern beträgt die Gewährleistungsfrist für Gebrauchtwaren ein (1) Jahr.
Gegenüber Unternehmern wird die Gewährleistung für Gebrauchtwaren ausgeschlossen.
Rügepflicht für Unternehmer: Ist der Kunde Unternehmer (Kaufmann), hat er die Ware unverzüglich nach Ablieferung zu untersuchen und Mängel, die bei sorgfältiger Untersuchung erkennbar sind, unverzüglich, spätestens jedoch innerhalb von sieben (7) Werktagen nach Erhalt, schriftlich anzuzeigen (§ 377 HGB). Versteckte Mängel sind unverzüglich nach Entdeckung schriftlich anzuzeigen. Andernfalls gilt die Ware als genehmigt. Für Verbraucher gilt keine Rügepflicht.
Die Gewährleistung entfällt bei Mängeln oder Schäden, die zurückzuführen sind auf:
Unsachgemäße Reparaturen oder sonstige Arbeiten durch den Kunden oder Dritte.
Äußere Einflüsse (z.B. Brand, Blitzschlag, Überspannung, Feuchtigkeit).
Fehlerhafte Software, Viren, unsachgemäße Software-Installation.
Unsachgemäßen Gebrauch, Bedienungsfehler, falsche Stromart oder -Spannung.
Die Gewährleistung entfällt auch, wenn Seriennummern oder Kennzeichen entfernt oder unleserlich gemacht werden.
§ 8 Haftung
Die D&W GbR haftet uneingeschränkt für Schäden aus der Verletzung des Lebens, des Körpers oder der Gesundheit sowie für Schäden, die auf Vorsatz oder grober Fahrlässigkeit beruhen.
Für sonstige Schäden, die auf einfacher Fahrlässigkeit beruhen, haftet die D&W GbR nur, sofern eine wesentliche Vertragspflicht (Kardinalpflicht) verletzt wird. In diesen Fällen ist die Haftung auf den vertragstypischen, vorhersehbaren Schaden begrenzt.
Die Haftung für Datenverlust ist auf den Wiederherstellungsaufwand beschränkt, der bei regelmäßiger und sachgemäßer Datensicherung durch den Kunden entstanden wäre.
Die Vorschriften des Produkthaftungsgesetzes bleiben unberührt. Eine weitergehende Haftung ist ausgeschlossen.
Schlussbestimmungen
§ 9 Schutzrecht (Software)
Soweit Software zum Lieferumfang gehört, wird diese dem Käufer allein zur Nutzung im Rahmen der jeweiligen Lizenzbestimmungen des Herstellers überlassen.
Der Kunde darf diese weder kopieren noch anderen zur Nutzung überlassen, es sei denn, die Lizenzbedingungen gestatten dies ausdrücklich.
§ 10 Abtretung, Aufrechnung, anwendbares Recht
Der Kunde kann seine Rechte und Pflichten aus diesem Vertrag nur mit schriftlicher Zustimmung der D&W GbR an Dritte übertragen.
Der Kunde darf nur mit unbestrittenen oder rechtskräftig festgestellten Forderungen gegen die Ansprüche der D&W GbR aufrechnen.
Es gilt das Recht der Bundesrepublik Deutschland unter Ausschluss des UN-Kaufrechts (CISG).
§ 11 Gerichtsstand
Ist der Kunde Kaufmann, juristische Person des öffentlichen Rechts oder öffentlich-rechtliches Sondervermögen, so ist ausschließlicher Gerichtsstand für alle aus dem Vertragsverhältnis entspringenden Rechtsstreitigkeiten der Sitz der D&W GbR.
Handelt es sich beim Kunden um einen Verbraucher, gelten die gesetzlichen Regelungen zum Gerichtsstand.
